Olive Group Terms of Use

These Terms of Use (“Terms”) govern the relationship between Olive Group, LLC (“Olive Group,” “Company,” “we,” “us,” or “our”) and any client, customer, or user (“Customer” or “User”) who purchases services from Olive Group or uses the website located at https://olive.group.
By using our website or engaging our services, you agree to these Terms.
1. Services
Services Provided
Olive Group provides marketing, advertising, consulting, website development, digital marketing, and related services as outlined in an Order Form, Statement of Work, or Service Agreement (“Order Form”).
Services may include but are not limited to:

Marketing consulting

Advertising management
-
Website design and development
-
Search engine optimization
-
Digital strategy
-
lead generation
-
call tracking
-
analytics implementation
Services will be delivered according to the specifications outlined in the applicable Order Form.
2. Customer Responsibilities
Customer agrees to provide timely cooperation, feedback, and necessary materials required for Olive Group to perform services.
This includes but is not limited to:

login credentials
-
branding materials
-
images and content
-
approvals and feedback
Failure to provide required materials or approvals may delay services. Billing begins on the start date listed in the Order Form regardless of delays caused by Customer.
3. Payments and Billing
Fees
Customer agrees to pay all fees specified in the Order Form.
Unless otherwise stated:
-
payments are not prorated
-
invoices are due within seven (7) days
-
Customer is responsible for all applicable taxes
Late Payments
If payment is not received within seven (7) days of the due date:
-
a late fee of 5% or $50 (whichever is greater) may apply
-
services may be paused or terminated
Olive Group reserves the right to retain files, deliverables, or materials until outstanding balances are paid.
Failed Payments
If a payment method fails after three attempts, a $25 processing fee may be applied.
Advertising Spend
Advertising budgets for platforms such as search engines, social media networks, or display networks are separate from Olive Group service fees unless otherwise specified in the Order Form.
Customer is responsible for all advertising platform charges and agrees that Olive Group is not liable for advertising platform billing errors, policy changes, or account suspensions.
4. Contract Terms and Renewal
Service durations are defined in the Order Form.
Unless written notice is provided 60 days prior to expiration, ongoing services may continue on a month-to-month basis at the most recent monthly rate.
Olive Group reserves the right to adjust pricing with reasonable notice.
5. Additional Costs
Certain services may require additional expenses not included in the original Order Form.
Examples include:

stock images
-
software subscriptions
-
advertising spend
-
third-party tools
-
domain registration
-
hosting services
Customer agrees to reimburse Olive Group for such costs when authorized.
6. Advertising and Third-Party Platforms
Many services provided by Olive Group rely on third-party platforms including but not limited to:
-
advertising networks
-
hosting providers
-
analytics software
-
domain registrars
-
social media platforms
Olive Group does not control these third-party services and cannot guarantee:
-
traffic volume
-
ad performance
-
search rankings
-
platform availability
Changes in algorithms, policies, or outages from third-party providers are outside Olive Group’s control.
7. Analytics, Tracking, and Website Technology
Olive Group websites and marketing systems may use tracking technologies including:

cookies
-
analytics tools
-
heat-mapping software
-
session recording tools
-
marketing attribution software
This may include the use of Microsoft Clarity and similar tools to analyze visitor behavior and improve website performance.
Users may disable cookies through their browser settings. Additional details regarding data collection are described in our Privacy Policy.
Our website may use analytics tools, cookies, pixels, and session recording technologies to analyze website usage and improve marketing performance. These technologies may collect information such as device type, browser information, IP address, pages visited, and interactions with the website.
This data may be used for:

Use of the website constitutes consent to this tracking as described in our Privacy Policy.
8. Refund Policy
If Customer cancels services:
Within 7 days of signing the Order Form
Customer may receive 75% refund
Within 8–14 days
Customer may receive 50% refund
After 14 days
No refund will be issued.
In all cases, Olive Group retains a minimum service fee of $250.
9. Intellectual Property
Customer Content
Customer represents that they have the legal rights to all materials supplied to Olive Group including:

images
-
videos
-
trademarks
-
logos
-
written content
Customer agrees to indemnify Olive Group against claims related to unauthorized use of such materials.
Ownership of Work
Upon full payment of all invoices:
Customer owns final deliverables created specifically for them.
Olive Group retains ownership of:
-
proprietary processes
-
templates
-
internal systems
-
marketing methodologies
-
software tools
10. Limitation of Liability
Olive Group will perform services in a professional manner consistent with industry standards.
However, Olive Group does not guarantee results, including:
-
search rankings
-
advertising performance
-
traffic levels
-
conversion rates
-
lead volume
To the maximum extent permitted by law, Olive Group’s liability shall not exceed the total amount paid by Customer for services.
Olive Group shall not be liable for:
-
lost profits
-
lost business opportunities
-
consequential damages
-
indirect damages
11. Indemnification
Customer agrees to defend and indemnify Olive Group against any third-party claims arising from:
-
Customer-provided content
-
misuse of marketing materials
-
unlawful advertising practices
-
violation of intellectual property rights
12. Termination
This Agreement may terminate:
-
upon completion of services
-
by either party with 60 days written notice
-
immediately if Customer fails to pay invoices
Upon termination, all outstanding balances become immediately due.
Olive Group may suspend services until payment issues are resolved.
13. File Transfers and Abandonment
Upon termination, Olive Group will transfer customer content and files upon request.
If Customer does not request transfer within 60 days, files may be considered abandoned.
If termination occurs due to unpaid invoices, files will only be transferred once payment obligations are satisfied.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms or the services provided by Olive Group shall be brought exclusively in the state or federal courts located within Los Angeles County, California, and the parties consent to the personal jurisdiction and venue of such courts.
15. Force Majeure
Olive Group shall not be liable for failure to perform services due to events outside its reasonable control including:

natural disasters
-
internet outages
-
platform failures
-
labor disputes
-
government actions
16. Changes to These Terms
Olive Group may update these Terms periodically.
Updated versions will be posted on the Olive Group website.
Continued use of services constitutes acceptance of the updated Terms.
